Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ProcUrPal B2B marketplace, including our website, applications, and related services (the "Platform"). ProcUrPal Inc. ("ProcUrPal," "we," or "us") provides the Platform to facilitate discovery, communication, and procurement between businesses.

By creating an account or using the Platform, you agree to these Terms. If you are using the Platform on behalf of a company, you represent that you have authority to bind that entity.

The Platform is intended for businesses and authorized representatives engaged in B2B procurement or supply. You must be at least 18 years old and capable of entering into binding contracts under applicable law. Accounts registered with false or misleading information may be suspended or terminated.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Supplier registration requires accurate business, compliance, and banking information. ProcUrPal may request additional documentation to verify identity and eligibility.

We reserve the right to approve, reject, or suspend accounts at our discretion to protect marketplace integrity.

You agree not to:

• Post false, misleading, or infringing product or company information.
• List prohibited, illegal, or restricted goods without authorization.
• Harass, spam, or solicit users outside permitted Platform channels.
• Attempt to circumvent fees, verification, or access controls.
• Scrape, reverse engineer, or disrupt Platform systems or security.

Buyers and suppliers are solely responsible for evaluating counterparties and negotiating commercial terms. ProcUrPal does not guarantee the quality, safety, or legality of listed products or services.

RFQs and quotations submitted through the Platform constitute communications between users. Unless explicitly stated in a separate agreement, ProcUrPal is not a party to contracts formed between buyers and suppliers.

Payment terms, delivery, warranties, and dispute resolution between parties are governed by their mutual agreements. ProcUrPal may offer optional order management features subject to additional terms.

Certain supplier features require paid subscription modules. Fees, billing cycles, and included services are disclosed during registration or plan selection. Subscriptions renew automatically unless cancelled according to stated cancellation procedures.

Taxes, including GST where applicable, are charged as required by law. Refund eligibility is determined by the plan terms in effect at the time of purchase.

ProcUrPal and its licensors own all rights in the Platform, including software, branding, and design. You retain ownership of content you submit but grant ProcUrPal a non-exclusive, worldwide license to host, display, and distribute that content for Platform operation and promotion.

You must not use ProcUrPal trademarks without prior written consent.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROCURPAL SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM PLATFORM USE OR USER TRANSACTIONS.

Our aggregate liability for claims relating to the Platform shall not exceed the greater of amounts paid by you to ProcUrPal in the twelve months preceding the claim or INR 10,000.

You may close your account at any time subject to outstanding obligations. We may suspend or terminate access for violations of these Terms, legal requirements, or actions that harm other users or the Platform.

Provisions that by nature should survive termination—including intellectual property, disclaimers, and limitation of liability—will remain in effect.

These Terms are governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of courts in Mumbai, Maharashtra, unless otherwise required by applicable law.
